IF YOU PURCHASED OR OTHERWISE ACQUIRED HUMANIGEN, INC. SECURITIES FROM MAY 16, 2020, TO JULY 12, 2022, YOU MAY BE A SETTLEMENT CLASS MEMBER.

How Do I know if I am a Settlement Class Member?

The Court has preliminarily certified the following Settlement Class:

All persons and entities who purchased or otherwise acquired Humanigen, Inc. (“Humanigen”) securities from May 16, 2020, to July 12, 2022, inclusive. Excluded from the Settlement Class are: (i) Defendants; (ii) Officers, Directors, or affiliates of Humanigen; (iii) Humanigen’s employee retirement of benefit plan(s) or a participant or beneficiary to the extent they purchased or acquired Humanigen securities through any such plan(s); (iv) Any entity in which Defendants have or had controlling interest; (v) An immediate family member of any excluded person, which includes children, stepchildren, partners, stepparents, spouses, siblings, mothers-in-law, fathers-in-law, sons-in-law, daughters-in-law, brothers-in-law, and sisters-in-law; and (vi) A legal representative, heir, successor, or assign of any excluded person or entity. Also excluded from the Settlement Class will be any Persons who timely and validly seek exclusion from the Settlement Class in accordance with the requirements set by the Court.

The Settlement Hearing

The Settlement Hearing shall take place before the undersigned, United States District Judge William J. Martini, in Courtroom MLK 4B at the Martin Luther King Building & U.S. Courthouse, 50 Walnut Street, Newark, New Jersey 07102 on March 7, 2024, at 12:00 p.m. to determine: (i) Whether the Settlement, on the terms and conditions provided for in the Stipulation, should be finally approved by the Court as fair, reasonable, and adequate; (ii) Whether the Litigation should be dismissed on the merits and with prejudice as the Defendants; (iii) Whether the Court should permanently enjoin the assertion of any claims that arise from or relate to the subject matter of the Litigation; (iv) Whether the application for attorneys’ fees and expenses to be submitted by Lead Counsel should be approved; (v) Whether the Plan of Allocation is fair and reasonable to the members of the Settlement Class; (vi) Whether the application for a Compensatory Award to be submitted on behalf of Lead Plaintiffs Dr. Scott Greenbaum and Joshua Mailey and Plaintiff Alejandro Pieroni should be approved; and (vii) Such other matters as the Court may deem necessary or appropriate.

Any updates and/or changes to the scheduling of the Settlement Hearing will be posted on this website. The Court may adjourn or continue the Settlement Hearing without further notice to members of the Settlement Class.
